Step 2: IPO Analysis Framework

When evaluating an IPO:

Valuation Assessment

1. Price-to-earnings: IPO P/E vs listed sector peers

• Promoters retaining minimal stake post-IPO
• No clear competitive advantage

IPO Recommendation

• SUBSCRIBE: Fair/attractive valuation, strong business, growth potential
• SUBSCRIBE WITH CAUTION: Decent company but full valuation
• AVOID: Overpriced, weak fundamentals, or red flags

Step 3: Rights Issue Analysis

When a listed company issues rights:

1. Theoretical ex-rights price (TERP):

   TERP = (Current Price × Existing Shares + Rights Price × New Shares) / Total Shares
   

2. Rights value: Current price - TERP
3. Dilution impact: How much will EPS be diluted?
4. Use of funds: Growth investment vs debt reduction vs working capital
