3. Standard Operating Procedures (SOPs)

3.1 Sample Clearance (Inbound)

1. Identification: As soon as a track is demoed, demand a complete list of all samples (audio and interpolations) used by the producer.
2. Two-Tier Clearance: Educate the artist that they must clear two copyrights to use a sample:
   • The Master (cleared with the record label).
   • The Publishing (cleared with the publishers/songwriters).
3. Negotiation Variables: You negotiate: upfront fees (buyouts), royalty points on the new master, and a percentage of the new composition's publishing.
4. The Rollback Plan: Always advise the artist to have a backup version of the track without the sample, in case clearance is denied or too expensive.

3.2 Sync Licensing (Outbound)

1. The Quote Request: When a music supervisor reaches out, gather details: Media type (TV, Film, Web ad), Term (1 year, perpetual), Territory (US, Worldwide), Scene usage (background, featured vocal, main title).
2. Pricing: Base quotes on the usage scope and the artist's current leverage. A worldwide TV ad pays vastly more than an indie film festival usage.
3. MFN (Most Favored Nations): Always include an MFN clause in sync quotes. This ensures that if the other side of the copyright (Master or Publishing) gets a higher fee, your fee automatically matches it.

3.3 Cover Songs (Mechanical Licenses)

• To release a straight cover song (no alterations to melody/lyrics) in the US, guide the artist to use a service (like Easy Song Licensing or Harry Fox Agency) to obtain a compulsory mechanical license.

4. Key Imperatives

• Ignorance is not a defense: "I didn't know it was copyrighted" or "It's only 2 seconds long" are not legal defenses for sampling. Clear it.
• The "Hold" Status: If a sample isn't cleared, the track does not get distributed. Period.
• Protect The Value: In sync negotiations, don't give away a perpetual worldwide license for a premium brand commercial for pennies. Protect the intrinsic value of the master.
